Client Responsibilities

Clients must provide complete, accurate, and current information necessary to perform the requested services.

Timely Communication

Clients are responsible for responding to requests, approvals, revisions, and communications within a reasonable timeframe.

Content Responsibility

Clients shall provide all necessary content including: Text, Images, Videos, Logos, Product Information, and Marketing Materials. Clients warrant that they possess the legal rights to all content supplied.

Approval Process

Clients are responsible for reviewing and approving deliverables within the agreed project timeline. Delays in approvals may result in project delays without liability to Ask Tech.

Section 05

Website Design & Development Services

Ask Tech will make reasonable efforts to deliver websites according to the approved project scope.

Project timelines are estimates and may vary due to:

  • Client delays
  • Third-party provider issues
  • Technical challenges
  • Scope modifications

Unless otherwise stated in writing, project completion dates are not guaranteed. Additional features requested outside the approved scope may require separate quotations and timelines.

Search Engine Optimization (SEO) Services

SEO services are provided based on industry best practices and current search engine guidelines. However, Ask Tech does not guarantee:

  • First-page rankings
  • Specific keyword positions
  • Increased traffic levels
  • Sales conversions
  • Revenue growth

Search engine algorithms are controlled by third parties and may change at any time. Clients acknowledge that SEO results vary based on competition, website condition, industry, and market factors beyond our control.

Digital Marketing Services

Marketing campaigns may include: Google Ads, Meta Advertising, LinkedIn Advertising, YouTube Advertising, Email Marketing, and Content Marketing.

While we strive to achieve positive outcomes, Ask Tech does not guarantee:

  • Leads or Sales
  • Return on Investment (ROI)
  • Conversion Rates
  • Revenue Targets

Campaign performance depends upon numerous external factors including audience behavior, competition, budget allocation, and market conditions.

Section 08

Payment Terms

Clients agree to pay all fees specified in project proposals, invoices, or service agreements.

Deposits

Website development and design projects may require an upfront deposit before work begins.

Recurring Services

Monthly services such as SEO, website maintenance, and digital marketing are billed according to the agreed payment schedule.

Late Payments

Late payments may result in project delays, suspension of services, additional administrative fees, or website suspension where applicable. All outstanding balances remain payable regardless of project status.

Section 09

Intellectual Property Rights

Client-Owned Materials

Clients retain ownership of content, trademarks, logos, and materials supplied by them.

Company-Owned Materials

Unless otherwise agreed in writing, Ask Tech retains ownership of: Proprietary methodologies, Development frameworks, Templates, Source files not included in the project agreement, and Internal processes.

Transfer of Ownership

Ownership of completed deliverables may transfer to the client only after full payment has been received.

Section 10

Revisions and Additional Work

Projects generally include the number of revisions specified in the proposal. Requests beyond the included revisions may be billed separately.

Additional work requested after project approval may require a new quotation, revised timeline, and additional payment.

Section 11

Third-Party Services

Projects may rely upon third-party providers including: Hosting Companies, Domain Registrars, Payment Gateways, Marketing Platforms, Analytics Services, and Social Media Platforms.

Ask Tech is not responsible for outages, service interruptions, pricing changes, policy updates, or technical issues caused by third-party providers.

Section 12

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, business, financial, or technical information disclosed during the course of the relationship.

Confidential information shall not be disclosed to third parties without prior written consent except where required by law.

Section 13

Limitation of Liability

To the fullest extent permitted by law, Ask Tech shall not be liable for:

  • Indirect or consequential damages
  • Lost profits or lost business opportunities
  • Data loss or reputation damage
  • Revenue loss
Our total liability under any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim.

Section 14

Disclaimer of Warranties

All services are provided on an "As Is" and "As Available" basis. Ask Tech makes no warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Uninterrupted service
  • Error-free operation

No guarantee is made regarding specific business, marketing, SEO, or advertising outcomes.

Section 15

Termination of Services

Either party may terminate services with written notice. Termination does not relieve the client from payment obligations for services already rendered.

Upon termination:

  • Outstanding invoices become immediately due
  • Access credentials may be transferred upon settlement of balances
  • Active campaigns may be paused or discontinued

Section 16

Force Majeure

Ask Tech shall not be liable for delays or failures resulting from events beyond reasonable control, including:

  • Natural disasters or pandemics
  • Government actions
  • Internet outages or cyberattacks
  • Labor disputes
  • Utility failures

Section 17

Indemnification

Clients agree to indemnify, defend, and hold harmless Ask Tech, its employees, contractors, and affiliates from claims, liabilities, damages, expenses, and legal fees arising from:

  • Client-provided content
  • Intellectual property violations
  • Misuse of services
  • Breach of these Terms

Section 18

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Maryland and the United States of America.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts located in Maryland, United States.

Section 19

Changes to Terms

Ask Tech reserves the right to update, modify, or revise these Terms and Conditions at any time. Updated versions will become effective immediately upon publication on our website.

Continued use of our website or services constitutes acceptance of any revised Terms.
